1. INTRODUCTION; ACCEPTANCE OF TERMS

Binding Agreement

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and VisBets LLC ("VISBETS," "we," "us," or "our"), governing your access to and use of the VISBETS mobile application (the "App") and related services. By registering, accessing, installing, or using the App, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and all applicable laws and regulations. If you do not agree to any provision of these Terms, do not use the App.

Not a Sportsbook or Gambling Platform

VISBETS is a data and analytics tool for sports fans and analysts, covering soccer (including the Worlds Tournament and other global competitions) and the National Basketball Association (NBA). VISBETS is not a sportsbook, does not accept or handle bets or wagers, does not hold or transfer user funds, and does not facilitate, promote, or enable gambling or sports betting transactions of any kind. The App contains no betting, affiliate, or sportsbook links, and users cannot place bets within it. Any actual bets must be placed through separate, unaffiliated third parties, entirely independent of VISBETS.

2. DEFINITIONS

• "App" means the VISBETS mobile application and all related content, features, functionality, and services provided therein.
• "User" means any individual who installs, registers for, accesses, or uses the App.
• "Subscription" refers to the tiered access to the App, as described in Section 6.
• "Data" includes all predictions, odds, statistics, analytics, and information displayed or made available in the App.
• "Sub-processors" means external service providers engaged by VISBETS in support of the App, as further described in Section 8.

3. DESCRIPTION AND SCOPE OF SERVICES

Service Overview

The VISBETS App provides adult sports fans and analysts with advanced analytics across soccer (including the Worlds Tournament) and the NBA — including predictive modeling, live odds from third-party sportsbooks, statistical data, trends, player/team analysis, and related content for informational and entertainment purposes only. Model projections are statistical estimates, not guaranteed outcomes or betting advice.

No Financial Transactions

The App never facilitates, accepts, processes, or holds actual bets, wagers, money, credit card, banking, or sensitive financial information. All subscription payments are processed exclusively through Apple In-App Purchase. VISBETS never touches or stores your payment card data.

Nature of Information Provided

All statistics, models, analyses, odds, and predictions delivered by VISBETS are estimates based on historical or third-party data. VISBETS does not warrant or guarantee the accuracy, completeness, currency, or reliability of any information or outcomes.

4. ACCOUNT REGISTRATION AND ELIGIBILITY

Registration

To access certain features of the App, you must create a user account using a valid email address and password. Authentication is managed by Supabase and passwords are immediately hashed; VISBETS never receives, stores, or accesses user passwords in plain text.

Age Restriction

You must be at least twenty-one (21) years old, or the legal age of majority in your jurisdiction, whichever is higher, to access or use the App. By registering or using the App, you certify that you meet the required age. VISBETS strictly prohibits use of the App by minors. VISBETS reserves the right to terminate access for any User believed to be under the required age.

Legality in User's Jurisdiction

You are solely responsible for determining and complying with all federal, state, and local laws and regulations applicable to sports betting and the use of sports analytics information in your jurisdiction. VISBETS makes no representation regarding the legality thereof.

Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify VISBETS immediately if you suspect unauthorized access.

5. RESPONSIBLE GAMBLING AND USER OBLIGATIONS

Responsible Gambling Policy

VISBETS advocates responsible gambling and discourages betting more than you can afford to lose. For support, contact the National Problem Gambling Helpline at 1-800-GAMBLER or refer to additional resources provided in the App and on the VISBETS website at ncpgambling.org.

User Risk and Discretion

All analytics, predictions, and information provided by the App are for informational and entertainment purposes only. You are solely responsible for any decisions you make based on this information, including the placement of any bets on third-party services.

No Guarantee of Outcomes

VISBETS does not, and cannot, guarantee the accuracy, profitability, or success of any outcome, prediction, or data provided through the App.

6. SUBSCRIPTIONS, PAYMENTS, AND BILLING

Subscription Tiers

• Free Access (with limited features)
• VisPlus/Starter (monthly or annual)
• VisMax/Pro (monthly or annual)

Payment Processing

All payments and subscription activations, renewals, and upgrades are exclusively managed and processed by Apple via In-App Purchase. Subscription status (activation, verification, and renewal) is managed through RevenueCat. VISBETS does not access, receive, or process your payment card, billing, or banking information.

Auto-Renewal

Subscriptions automatically renew at the end of each term (monthly/annually) unless canceled by you through your Apple account settings prior to the subscription renewal date. You are responsible for managing, amending, or canceling your subscription preferences directly via your Apple ID under your device's account management settings.

Refunds and Cancellations

VISBETS cannot process subscription cancellations or refunds directly. All subscription-related payment matters (including disputes or refund requests) must be addressed with Apple or RevenueCat in accordance with their respective policies. VISBETS is not responsible for, and will not intervene in, payment or refund disputes processed through Apple or RevenueCat.

Changes to Subscription Tiers or Pricing

VISBETS reserves the right to modify, suspend, or discontinue any subscription plan or pricing at any time in its sole discretion. Any material change will be communicated through the App and, for active paid subscriptions, will take effect on the next renewal cycle, subject to applicable law and/or Apple's requirements.

7. USER CONDUCT; PROHIBITED ACTIVITIES

General Conduct

You agree to use the App only for lawful purposes and in strict compliance with these Terms and all applicable laws and regulations.

Prohibited Uses

Without limitation, you agree not to:

• Attempt to use the App if you are under legal betting age in your jurisdiction
• Use the App to facilitate or promote unlawful gambling or betting
• Circumvent, disable, or otherwise interfere with security-related features of the App
• Access or attempt to access another user's account without authorization
• Use, copy, modify, adapt, reverse-engineer, disassemble, or attempt to derive the App's source code, algorithms, models, or data for any purpose not expressly permitted herein
• Create derivative works or commercialize any content or feature of the App without VISBETS's express written consent
• Submit false information or impersonate any person or entity
• Engage in activity that threatens the security or operation of the App or the rights of other users

8. DATA PRIVACY, SECURITY, AND THIRD-PARTY PROVIDERS

Privacy Policy Incorporated

The collection, use, retention, and disclosure of your personal information is governed by the VISBETS Privacy Policy (as updated from time to time), which is hereby incorporated by reference. By consenting to these Terms, you acknowledge that you have read and agree to the Privacy Policy.

Data Collected and Not Collected

VISBETS collects only the following categories of information as necessary: account email, hashed password, subscription status, usage analytics linked to your account identifier, and standard device information. VISBETS does not collect location/GPS data, contacts, media, payment card/banking information, government IDs, or sensitive personal data.

Sub-processors and Third-Party Service Providers

VISBETS uses the following service providers for authentication, analytics, hosting, and data delivery: Supabase, Railway, Apple, RevenueCat, Amplitude, Sentry, TheOddsAPI, API-Sports. Data shared with these providers is limited to that necessary to operate the App and is protected by written agreements requiring security and confidentiality. VISBETS does not sell or share personal data for cross-context behavioral advertising.

Third-Party Data & Content

VISBETS displays odds, statistics, media, and content supplied by third parties (including, but not limited to, TheOddsAPI, API-Sports, PrizePicks, Underdog Fantasy, and the NBA). VISBETS is an independent analytics tool and is strictly not affiliated with, endorsed by, or sponsored by the NBA, PrizePicks, Underdog Fantasy, or any other sportsbook or daily fantasy sports operator. VISBETS does not warrant the accuracy, timeliness, completeness, or reliability of third-party data, nor is VISBETS responsible for errors, omissions, or delays in content supplied by any such third parties.

Security Measures

VISBETS maintains commercially reasonable technical, organizational, and physical safeguards to protect your information. Passwords are hashed; connections use secure protocols (such as HTTPS); only authorized personnel may access personal data.

No Guarantee of Security

While VISBETS endeavors to maintain a secure environment, no information transmitted via the internet or stored in a mobile application can be guaranteed 100% secure. You use the App at your own risk and are responsible for securing your device.

Breach Notification

In the event of a data breach affecting your personal information, VISBETS will provide prompt notification to affected users and relevant authorities, as required by applicable laws, indicating the nature of the breach and mitigation steps being taken.

International Data Transfers

If you are located outside the United States, your information may be transferred to, processed, or stored in other jurisdictions. VISBETS will ensure adequate safeguards, such as Standard Contractual Clauses, are in place, where required by law.

Tracking Technologies

VISBETS and its sub-processors may use in-app analytics SDKs or similar technologies to monitor app performance and feature usage exclusively for the purpose of improving service quality. These technologies are not used for cross-context behavioral advertising, and VISBETS does not track you across other companies’ apps and websites. Because VISBETS does not track you in this way, the App does not request App Tracking Transparency permission. You may opt out of analytics at any time from the “Do Not Sell or Share” screen in your account settings.

9. INTELLECTUAL PROPERTY; USER LICENSE

Ownership

Except for content openly attributed to third parties and subject to their respective licenses, all content, code, analytics, models, data compilations, trademarks, service marks, and branding within the App are the exclusive property of VISBETS LLC.

Limited License

VISBETS grants you a limited, personal, revocable, non-exclusive, non-transferable license to access and use the App strictly for lawful, personal, and non-commercial purposes, in accordance with these Terms.

Prohibitions

No portion of the App, including proprietary models, code, user interface, or data, may be copied, distributed, reverse-engineered, modified, or exploited for commercial gain without the express prior written consent of VISBETS. All rights not expressly granted herein are reserved.

User Feedback

VISBETS may, at its discretion, utilize any suggestions, feedback, or ideas submitted by Users with respect to the App without compensation or attribution, and you grant VISBETS a perpetual, irrevocable, transferable, royalty-free license to use such feedback for any lawful purpose.

DMCA Notices

If you believe content in the App infringes a copyright you own or control, send a written notice including the information required by 17 U.S.C. § 512(c)(3) to support@visbets.com with the subject line "DMCA Notice". VISBETS will review and respond in accordance with the Digital Millennium Copyright Act.

10. DISCLAIMERS AND LIMITATIONS OF LIABILITY

No Sportsbook; No Bets or Wagers

VISBETS is not a sportsbook, gambling operator, or wagering facilitator. The App does not accept, process, or settle any bets or wagers; does not hold or transfer user funds; and does not require or claim to hold any gambling license.

Predictions and Data as Estimates Only

All information, predictions, analyses, and odds provided via the App are intended for informational and entertainment purposes only, and are based on statistical modeling and third-party data. VISBETS does not guarantee the accuracy, completeness, profitability, or outcome of any prediction, analysis, or data.

No Professional or Financial Advice

VISBETS does not provide financial, investment, betting, legal, or professional advice, and should not be relied on as such. Users are solely responsible for all decisions and actions taken in reliance on information obtained through the App.

Assumption of Risk

User assumes all risks, known or unknown, associated with the use of the App, including but not limited to any financial losses incurred through third-party betting platforms based on Data, models, or predictions provided by VISBETS. User accepts full responsibility for any claims or financial losses they may suffer arising from or related to their reliance on the App, and hereby releases and forever discharges VISBETS from any and all such claims.

Third-Party Links

The App may display or link to third-party websites or services (including odds from sportsbooks). VISBETS does not control, endorse, or assume responsibility for any third-party content, policies, or practices, and encourages you to review third-party terms before engaging.

Limitation of Liability

Time Limitation on Claims

Indemnification

You agree to indemnify, defend, and hold harmless VISBETS and its affiliates, officers, directors, employees, and agents from and against all claims, damages, losses, costs, expenses (including reasonable attorneys' fees), penalties, and liabilities arising from your use of the App, your breach of these Terms, your violation of applicable laws, or your misuse of VISBETS content.

Force Majeure

VISBETS is not liable for any delay or failure to perform its obligations under these Terms resulting from events beyond its reasonable control, including but not limited to acts of God, natural disasters, technical failures, or government actions.

11. TERMINATION AND SUSPENSION

Termination by VISBETS

VISBETS may, at any time and in its sole discretion, suspend, restrict, or terminate your access to the App and/or your account for any reason, including but not limited to violation of these Terms, suspected fraud, unlawful activity, account inactivity, or as required by law, without prior notice.

Termination by User

You may terminate your account at any time by following the instructions within the App under Profile → Delete Account or contacting privacy@visbets.com. Account termination will be effective after applicable processing by VISBETS, subject to data retention requirements and Section 8.

Effect of Termination

Upon termination of your account or access, your right to use the App shall immediately cease. Any provision herein that by its nature should survive termination (including but not limited to Sections 9, 10, and 11) shall remain in effect.

Handling of User Data

Upon account termination or deletion request, VISBETS will remove or anonymize your personal information from active systems as described in the Privacy Policy, subject to legal retention obligations.

12. ACCESSIBILITY AND AVAILABILITY

Accessibility Commitment

VISBETS is committed to providing equal access to its App and these Terms for all users, regardless of disability. These Terms are provided in a format compatible with commonly available assistive technologies and comply with recognized accessibility standards (e.g., WCAG). Users may request these Terms or related notices in alternative formats by contacting privacy@visbets.com or submitting an "Accessibility Request" in the App settings.

Requests for Accommodation

VISBETS will document, acknowledge, and process accessibility and accommodation requests within legally required timeframes and in good faith.

13. CHANGES TO TERMS; NOTICE

Right to Amend

VISBETS may modify, update, or revise these Terms periodically to reflect changes in business practices, legal requirements, or service offerings. Any material changes will be communicated to you in advance via in-app notification or email (where possible) prior to taking effect.

Acceptance of Amendments

Continued access to or use of the App after the effective date of any amended Terms constitutes your acceptance of the updated Terms. If you do not accept any updates, your sole remedy is to discontinue use of the App and terminate your account as outlined above.

14. MISCELLANEOUS

Governing Law; Jurisdiction

These Terms and any dispute or claim arising out of or in connection herewith shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. You consent to exclusive jurisdiction of the courts located in San Francisco County, California, except where arbitration or another venue is required by law.

Dispute Resolution

Any dispute, claim, or controversy arising out of or relating to these Terms or the App, where not otherwise resolved, may be subject to binding arbitration, as specified by VISBETS in its sole discretion, and as required by applicable law.

Waiver of Jury Trial

Attorney's Fees

In the event of any dispute, arbitration, or litigation arising from or related to the interpretation or enforcement of these Terms, the prevailing party shall be entitled to recover its reasonable litigation costs, including but not limited to reasonable attorney's fees, from the non-prevailing party.

Assignment

VISBETS may assign or transfer its rights and obligations under these Terms, in whole or in part, to any successor entity or in connection with a merger, acquisition, or sale of substantially all assets, with notice to you as required by law. You may not assign or transfer your rights or obligations without VISBETS's prior written consent.

Severability

If any provision of these Terms is determined by a court of competent jurisdiction to be invalid or unenforceable, such provision will be enforced to the maximum extent permissible, and the remainder of these Terms will remain in full force and effect.

Entire Agreement

These Terms, together with the Privacy Policy and any referenced policies, constitute the entire agreement between you and VISBETS regarding your use of the App and supersede any prior agreements or understandings relating to the same subject matter.

No Waiver

VISBETS's failure to assert or enforce any provision or right under these Terms shall not constitute a waiver of such provision or right.

Section headings in these Terms are for reference only and shall not affect the interpretation or scope of any provision.
